1. Acceptance of Terms

By creating an account, starting a guest chat, or otherwise using PsychPal ("the Service", "we", "us"), a registered business name owned and operated by Renovo Cleaning Inc., 268 Carlton Ave, Somerset, MB R0G 2L0, Canada, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the Service. You must be at least 18 years of age to use the Service.

2. Description of Service

PsychPal is an AI-powered journaling and emotional-wellness companion that provides:

• AI conversations and journaling for reflection and self-help
• Mood check-ins, wins, notes and wellbeing insights
• Exercises inspired by CBT, DBT and ACT principles, for general wellness only
• Appointment reminders and notes management
• Optional support-person check-in messages
• A directory of local therapists supplied by third parties

3. Not Medical Advice, Not Therapy, Not an Emergency Service

PsychPal is not a substitute for professional mental health care. Everything in the Service, including every AI response, is general information for wellness and self-reflection only. It is not medical, psychological, psychiatric, legal or other professional advice, and using PsychPal does not create a therapist-client, doctor-patient or any other professional relationship.

4. About the AI

PsychPal's replies are generated by artificial intelligence (Anthropic Claude), not by a person. AI can be wrong, incomplete, out of date or say something that does not fit your situation. We use safety instructions, crisis detection and a second AI review of every reply before it is shown to you, to reduce these risks, but no AI system can be guaranteed to be error-free. You agree to use your own judgement, not to rely on the AI as your only source of support, and to seek professional or emergency help when you need it.

5. Safety & Acceptable Use

PsychPal uses AI to recognize language that may indicate a credible threat of harm to yourself or to others. The classifier distinguishes between three severity levels:

• Level 1 — Concern: ambient ideation, rumination, or revenge fantasies without a specific plan or timeline. The AI continues the conversation with a gentle de-escalation response. A record is logged for safety review; no lock is applied and no one is notified.
• Level 2 — Specific: a credible threat of harm to a specific, identifiable person. The AI pauses for 15 minutes and our safety team is notified by an email that contains no names or message text. Emergency contacts are not notified at this tier (a contact may be the person at risk).
• Level 3 — Mass: mass-violence ideation. The AI pauses for 20 minutes and our safety team is notified the same way. Automatic text alerts to emergency contacts are currently switched off; if we switch them on, we will update these Terms first.

A second Level 2 or Level 3 event within 7 days pauses the AI for 24 hours. If you write about harming yourself, the AI is not paused: PsychPal shows crisis help lines straight away and offers to text or email your emergency contact if you have added one.

When an incident is flagged, a member of our internal safety team, limited to individuals on a server-side allow-list and bound by confidentiality, may review a trigger snippet (up to 500 characters) and the AI's response. Full conversation history is not exposed at this layer; broader access is gated behind a separate credential and audited independently. Every review action writes to an immutable audit log.

PsychPal does not autonomously contact 911 or any emergency service on your behalf.Detection can miss messages or flag harmless ones. Texts and emails to emergency contacts depend on phone carriers and email providers and may be delayed or not delivered. Do not rely on PsychPal to get help to you in an emergency.

User obligations. You agree not to use PsychPal to plan, rehearse, solicit, or otherwise prepare acts of harm to yourself or to others, to harass anyone, to try to break or trick the safety system, or to copy, scrape or resell the Service. Doing so may result in immediate suspension of your account and, where law requires or a life may be at risk, disclosure to appropriate authorities.

6. Emergency Contacts and Support Circle

If you add an emergency contact, you confirm that you have their permission to share their name, phone number and email with us, and for us to send them a short check-in message when you choose to, or as described in Section 5. They can reply STOP at any time. People you add to your support circle (a name, and optionally a photo, a short message or a voice note) are only shown to you inside the app; PsychPal never contacts them.

7. Subscription Terms

7.1 Free Trial

New users receive a 7-day free trial. No payment information is required during the trial. After the trial ends, continued access requires a paid subscription.

7.2 Subscription Plans

Current plans (prices in Canadian dollars, plus applicable taxes):

• Basic Monthly: CA$7.99 per month
• Premium Monthly: CA$12.99 per month
• Premium Annual: CA$99.99 per year

Prices in the App Store or Google Play may be shown in your local currency.

7.3 Billing and Renewal

• Subscriptions renew automatically at the end of each billing period until cancelled
• You are charged at the start of each billing period
• We will give at least 30 days' notice of any price change before it applies to you
• Web and Android payments are processed by Stripe; iPhone payments are processed by Apple

7.4 Cancellation

• Web and Android: cancel any time in Settings or the Stripe customer portal
• iPhone: cancel any time in your Apple ID subscription settings
• Cancellation takes effect at the end of the current billing period, and you keep access until then

8. Refund Policy

8.1 7-Day Money-Back Guarantee

If you are not satisfied, you may request a full refund within 7 days of your first paid charge. Email support@psychpal.ca. iPhone purchases are refunded by Apple through reportaproblem.apple.com under Apple's rules.

8.2 Other Refunds

After the first 7 days, subscriptions are non-refundable except:

• Technical issues that prevent use of the Service (we will try to fix them first)
• Duplicate or erroneous charges
• Where required by applicable consumer law

8.3 Processing Time

Approved refunds are processed within 5-10 business days to your original payment method.

9. Clinic and Promotional Access

Access provided through a clinic pilot code, promo code or affiliate link is subject to these Terms. Clinics that share a code do not see your journals or conversations, and PsychPal is not part of the clinic's care. Free access ends on the date shown; you are never charged automatically when it ends.

10. Third-Party Services

The Service relies on third parties such as AI providers, app stores, payment processors, messaging providers and Google Places (for the therapist directory). We do not vet, recommend or take responsibility for therapists or other providers listed in the directory, and you choose any provider at your own discretion. Third-party services are governed by their own terms.

11. User Responsibilities

You agree to:

• Provide accurate registration and payment information
• Keep your login details confidential and tell us about any unauthorized use
• Use the Service in compliance with all applicable laws
• Not share your account with others
• Not use the Service for any illegal or unauthorized purpose

12. Privacy, Data, and Health Information

Your use of the Service is also governed by our Privacy Policy, which explains what we collect, where it is stored and processed (including by service providers in the United States), how journals, conversations and safety records are encrypted, and how to export or delete your data. We handle personal information in accordance with applicable Canadian privacy law, including PIPEDA.

13. Intellectual Property

The Service, its design, software, branding and content are owned by Renovo Cleaning Inc. and protected by copyright, trademark and other laws. You keep ownership of what you write; you give us a limited licence to store and process it only to provide the Service to you.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICE, ITS AI RESPONSES, CRISIS DETECTION OR REMINDERS WILL BE ACCURATE, UNINTERRUPTED, ERROR-FREE OR COMPLETELY SECURE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENOVO CLEANING INC. (OPERATING AS PSYCHPAL) AND ITS DIRECTORS, OFFICERS, SHAREHOLDERS, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR ANY AI RESPONSE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) CA$100.

Nothing in these Terms limits liability that cannot legally be limited, such as liability for death or personal injury caused by negligence where the law forbids that limit, or fraud.

16. Indemnity

To the extent permitted by law, you agree to cover our reasonable losses and legal costs arising from your breach of these Terms or your misuse of the Service.

17. Users Outside Canada

The Service is operated from Canada. If you use it from another country, including the United States or Australia, you are responsible for following local laws. Mandatory consumer rights in your country (for example, the consumer guarantees under the Australian Consumer Law, or rights under US state laws) still apply, and these Terms limit our liability only as far as those laws allow.

18. Changes to Terms

We may update these Terms. For material changes we will give you at least 30 days' notice by email or in the app before they take effect. The effective date at the top shows the current version. If you keep using the Service after changes take effect, you accept the updated Terms.

19. Termination

You can stop using the Service and delete your account at any time in Settings. We may suspend or end your access if you break these Terms, create a safety risk for others, or if required by law. Sections that by their nature should survive (such as 3, 4, 14, 15, 16 and 20) continue after termination.

20. Governing Law and General Terms

These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada that apply there. Disputes will be resolved in the courts of Manitoba, unless the mandatory law of your home country gives you the right to bring a claim where you live. If any part of these Terms is found unenforceable, the rest stays in effect. These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
